The first session of this class will be held on Friday Jan. 19, 9:30 AM, Room 1104, instead of its regular Monday time slot.  It will return to normal schedule on Monday Jan. 29.

For the first class, students should obtain a copy of Corporate Legal Compliance Handbook from the bookstore, if they have not already done so.  They should read chapter 1 and 36 for the first class.  In addition, they should read the following cases:

In re the Dow Chemical Company Derivative Litigation, No. 4399-CC (Del. Ct. Ch. Jan. 11, 2010);

New York Cent. & Hudson River R.R. v. United States, 212 U.S. 481 (1909); United States v. Park, 421 U.S. 658 (1975);

United States v. Dotterweich, 320 U.S. 277 (1943);

In re Caremark International, Inc. Derivative Litigation, 698 A.2d 959 (Del. Ch. 1996).
