Terms and Conditions
1. OVERVIEW
Thank you for your interest in the 2026 Loyola University Chicago Health Equity Quest (the “Quest”), sponsored by the Parkinson School of Health Sciences and Public Health, Loyola University Chicago ("Sponsor"). Each application (the “Application”) to participate in the Quest is managed by Innovation Development Institute Inc d/b/a MATTER, with its principal place of business at 222 West Merchandise Mart Plaza Suite 228, ("MATTER"). These Terms and Conditions (these “Terms”) governing the Application to and participation in the Quest.
By submitting the Application and participating in the Quest you (if an individual, on behalf of yourself, and if an organization, on behalf of such organization, its officers, directors, employees, agents and representatives, “you” or “Participant”), confirm the accuracy of the information submitted and unconditionally accept and agree to comply with and be bound by these Terms and the decisions of Sponsor, which decisions shall be final and the sole discretion of Sponsor.
The Quest is an open, national call to participate in a hands-on workshop (the “Workshop”) designed to build foundational knowledge of artificial intelligence (“AI”) and explore how AI tools can support equity-centered health innovation for select community-based organizations, researchers, and healthcare stakeholders.
Applications to participate in the Quest are available at https://www.luc.edu/parkinson/innovationchallenge/ (“Website”) and may be submitted beginning on August 20, 2026, through 11:59pm CST on October 1, 2026 (the “Application Period”). MATTER is responsible for the collection, submission and/or processing of Applications and the overall administration of the Quest. Participants should look solely to MATTER with any questions, comments or problems related to the Quest. MATTER may be reached by email at partnerships@matter.health during the Application Period. MATTER’s administrator’s server/computer is the official time keeping device for the Program during the Application Period. The Workshop will be held in-person on November 4, 2026, at MATTER, an innovation hub, headquartered in Chicago, Illinois, 60654, where selected Applicants will participate in the one-day, in-person workshop.
READ THESE TERMS CAREFULLY BEFORE USING THIS WEBSITE, SUBMITTING AN APPLICATION AND PARTICIPATING IN THE WORKSHOP (IF APPLICABLE). THESE TERMS SET OUT THE STIPULATIONS OF A LEGALLY BINDING AGREEMENT BETWEEN PARTICIPANT, SPONSOR AND MATTER. IF YOU DO NOT AGREE TO THESE TERMS YOU MUST NOT SUBMIT AN APPLICATION.
2. ELIGIBILITY
Participants must be community-based organizations, public health organizations, healthcare organizations, social service and advocacy organizations, startups (both MATTER members and non-members), universities, corporate entities, researchers and individuals who are at least 18 years of age.
Application must include Participant’s AI Solution. Such AI Solution may range from research-based concepts and pre-revenue innovations to commercially available technologies, services, devices and other novel interventions. Participant must complete the Application in its entirety, including without limitation a description of the problem being addressed, the proposed AI Solution, its value proposition and how AI is incorporated into the AI Solution. Participant’s Application must demonstrate a validated hypothesis or preliminary proof of concept supporting its proposed AI Solution. Additional information or supporting materials may be requested as part of the review process. Applications must be complete and submitted by the end of the Application Period.
If selected by Sponsor, Participant must be available to participate in person in the one-day Workshop. Age: All applicants must be 18 years of age or older.
Confidentiality: Participant will not submit any confidential information as part of the Application. If selected to participate in the Workshop, Participant will not disclose any confidential information in its Presentation or Participant Materials. Participant acknowledges and agrees that any and all information submitted with the Application, and if applicable, disclosed in Participant’s Presentation and Participant Materials at the Workshop will not be treated as confidential information and may be shared freely with third parties.
Intellectual property: Participant’s AI Service is free of third party rights, including intellectual property rights. Representations and Warranties: Participant hereby represents, warrants, and covenants, and agrees to produce written evidence of such if requested, that:
(i) The Application and all other Participant Materials and any and all information therein, in whole and in part, does not violate or infringe upon any laws, rules, or regulations (“laws”), or upon any proprietary or intellectual property rights, including copyrights, trademarks, patents, trade secrets, industrial property rights, privacy, personal or moral rights, or any other rights whatsoever of any person and/or entity (“rights”);
(ii) The Application and all other Participant Materials, in whole and in part, are submitted to the Quest by or with the express permission of all persons (living or deceased), venues, and/or entities whom/which worked on, were engaged to work on, or contributed in any respect to the Application or any part thereof, who are depicted (directly or indirectly) in the Application and any other Participant Materials by name, likeness, voice, image, or any other information or indicia of persona, or who otherwise have any right, title and interest in and to the Application and any other Participant Materials or any part thereof (including but not limited to rights arising from a work for hire relationship), and all such persons, venues, and/or entities have provided their written consent to submission of the Application and other Participant Materials and their use pursuant to these Terms;
(iii) The Application and Participant Materials are the original creation of Participant and/or Participant has all title, rights, licenses, permissions, and consents from all necessary persons/entities to and in connection with the Application and Participant Materials and all content thereof, and the right to submit it into this Quest and to grant all of the rights granted to MATTER and Sponsor in these Terms (and in any written release documents and/or agreements signed by Participant), and the exercise thereof by MATTER and Sponsor and/or the use by them of the rights granted by Participant, in whole or in part, does not and will not give rise to any alleged or actual claims, disputes, actions, damages, losses, or liabilities, including but not limited to those for violations of privacy, disputes, or payment of any kind, including without limitation infringement of intellectual property rights, royalties, residuals, attribution, credit, dues, approval or consultation rights, or any rights of participation, attribution, or any other fees, costs, or expenses, arising out of the submission, use, exhibition, and/or any other use or exploitation of the Application and Participant Materials, in whole and in part, the use thereof by Sponsor and MATTER of any of the rights granted in these Terms;
(iv) The Application and Participant Materials, in whole or in part, contain no pornographic, sexually explicit (including nudity), obscene or menacing, defamatory, offensive, violent, harmful, discriminatory, cruel, abusive, highly political, religious, sensitive, or illegal content and/or technology, or other content that is prohibited from export, and does not otherwise offend reasonable standards of taste and decency (as solely determined by Sponsor in its absolute discretion); and
(v) Without limitation the Application and Participant Materials and the collection, storage, usage, disclosure, transmission, and/or sharing in any respect of such Application and Participant Materials at any time (including, but not limited to, prior to or in connection with this Quest and any element thereof) is with the legal permission of all persons and/or entities whose information of whatever kind or nature contributed or became part of the Application and Participant Materials, that it was collected in compliance with all applicable laws or rights, including without limitation the Health Insurance Portability and Accountability Act of 1996, as amended, and the Family Educational Rights and Privacy Act of 1974, as amended, and such Application and Participant Materials data is de-identified so as not to disclose the personal health information of an individual personally identifiable by such Application and Participant Materials data in accordance with applicable laws, regulations, and guidelines.
Award: Only Participants selected by Sponsor will receive an invitation to the Workshop and to present about their AI Solution at the Workshop. Participant acknowledges and accepts that under no circumstances whatsoever can an invitation (or failure to be receive an invitation) be contested in any way, or a request made to exchange it either for its monetary value, or for another award. The award is non-transferable and Participant is advised that any sale or exchange of the award is not permitted. Participant will receive a separate award agreement from MATTER.
Expenses: If selected to participate in the Workshop, Participant must cover its own travel and meal expenses related to its attendance of the Workshop.
Personal Data: Participant expressly consents to: (i) the collection, use and retention by Sponsor and MATTER of Participant’s personal and business information contained in the Application and Participant Materials for all purposes (including promotion and publicity) related to Sponsor’s partnering program and (ii) the publication of Participant’s name and entrepreneurial story on Sponsor’s website as well as on Sponsor’s social media channels (Facebook, Twitter, YouTube, LinkedIn, Instagram, etc.). Any such information submitted will be transferred to servers located in the United States of America and treated under the laws of the State of Illinois and the United States of America.
Once submitted the Application may not be canceled or deleted, and will not be returned. The Application as a whole will be considered and judged, and may be posted, viewed, and used by Sponsor and MATTER in whole or in part, as provided herein and by others interested in, involved with or administering the Quest and Workshop. Participant assumes all risk of ineligible, non-compliant, damaged, lost, late, incomplete, invalid, incorrect, incompatible, non-functioning, untimely, or misdirected Applications and Participant Materials, in whole or in part.
Participant understands, recognizes, and accepts that, without fault of Sponsor or MATTER, other persons may have provided one or more of Sponsor or MATTER, or others, or made public, or may in the future submit, or make public, materials that are the same or similar to Participant’s Application, Participant Materials, and/or Workshop Presentation. Furthermore, Participant has independent access to, may create, or have created technologies, methods, materials, and ideas which may be similar or identical in whole or in part to another Application in concept, theme, idea, format, or other respects. The Application, other Participant Materials and Participant’s Workshop Presentation (to the extent applicable) may not be acknowledged and, unless otherwise stated, will not be received or held “in confidence” or “in trust.” By submitting the Application and other Participant Materials, no confidential relationship and no obligation of secrecy between Participant and any of Sponsor and MATTER are created. Information submitted in the Application and other Participant Materials will not be considered or treated as confidential information. Participant will not now or in the future be entitled to any approval, rights of compensation, or any other payment. Participant further acknowledges and agrees that submitting the Application and/or being selected to participate in the Workshop and present at the Workshop does NOT give rise to or in any way create, either express or implied, any employer/employee, joint or co-venture, principle/agent, or any other employment, fiduciary, or other relationship, between Participant and any of Sponsor and MATTER, or any other person or entity. Participant further acknowledges and agrees that submitting the Application and/or receiving an invitation to participate in the Workshop does NOT give rise to or in any way create, either express or implied, any obligations by Sponsor to Participant except as expressly detailed herein.
Sponsor and MATTER each disclaim all responsibility and liability relating to all of the above. Participant agrees to release, indemnify, defend and hold harmless Sponsor and MATTER in all respects related to the foregoing.
PROOF THAT THE APPLICATION IS SUBMITTED OR UPLOADED, OR OTHERWISE CREATED IS NOT PROOF OR EVIDENCE THAT THEY WERE RECEIVED OR ARE ELIGIBLE FOR THE QUEST.
3. SELECTION OF FINALISTS
Applications will be reviewed and evaluated by a group of judges. Selection of Participants to participate in the Workshop are based on the following criteria:
- Ability to clearly articulate the problem statement addressed in the Health Equity Quest description: Describe the unmet market need of the stakeholders involved, and the deficiencies of current solutions
- Quality, feasibility, and scale of proposed solution or technology: Describe the unique technical features of the product or service, the proposed benefits to stakeholders, any evidence or proof-of-concept supporting the impact of the AI Solution, and the ability to scale to a broad market
- Differentiation of solution within the competitive landscape: Describe how this proposed AI Solution addresses the unmet need, why it would be sustainable, and how it is differentiated within the competitive landscape
- Capability developing and executing the AI Solution: Describe the composition of your team and relevant backgrounds and experiences that uniquely position you to execute on this solution
4. GENERAL CONDITIONS
THESE TERMS SHALL GOVERN THE QUEST AND ALL ELEMENTS THEREOF, INCLUDING BUT NOT LIMITED TO APPLICATION, VERIFICATION OF APPLICATION, PARTICIPATION IN THE QUEST, ELIGIBILITY TO RECEIVE AN INVITATION TO THE WORKSHOP, AND PARTICIPANT’S, SPONSOR’S AND MATTER’S RESPECTIVE OBLIGATIONS WITH RESPECT THERETO. SPONSOR’S AND MATTER’S INTERPRETATION AND APPLICATION OF THESE RULES IS FINAL AND BINDING. IN THE EVENT OF A DISCREPANCY BETWEEN ANY INFORMATION, COMMUNICATION, AND/OR TRANSLATION RELATED TO OR IN CONNECTION WITH THE QUEST, THE WORKSHOP AND/OR YOUR PRESENTATION, THESE TERMS (IN THEIR ENGLISH VERSION) SHALL GOVERN. If any item or provision contained in these Terms or any part thereof is declared or becomes unenforceable, invalid, or illegal for any reason, all other terms and provisions of these Terms shall remain in full force and effect as if these Terms had been executed without the offending provision appearing therein.
5. WORKSHOP PARTICIPANT SELECTION
Participants selected to present their AI Solution at and participate in the Workshop will be notified of their invitation to participate in the Workshop by telephone and/or email no later than October 16, 2026.
6. TAXES ON AWARDS
Participant is solely responsible for any local, state, federal, or any other applicable taxes, compliance with reporting, filing and documentation requirements, and for any other costs, expenses and fees connected with their Application, and if invited, to present at and participate in the Workshop.
7. INTELLECTUAL PROPERTY
Participant represents and warrants that all the information, materials, content and data that makes up and is included in Participant’s Application and Presentation (collectively, and including without limitation the AI Solution, “Participant Materials”) constitute Participant’s original creative work, and that Participant is the owner of all rights, title and interest in, or that Participant has valid licenses or other permissions to fully use and apply, the intellectual property (“IP”) rights (“IP Rights”) of all Participant Materials, and that none of the Participant Materials infringe upon the creative work/intellectual property rights of others. Further, Participant represents and warrants that Participant has followed any invention disclosure processes that may exist within Participant’s employment.
Participant represents that Participant has taken or has chosen not to take all appropriate steps to preserve and protect Participant’s IP Rights in Participant Materials in all appropriate jurisdictions. THE QUEST DOES NOT REQUIRE THAT PARTICIPANT DISCLOSE IDEAS, DESIGNS OR OTHER IP RIGHTS THAT ARE PARTICIPANT’S CONFIDENTIAL IP. NEITHER SPONSOR NOR MATTER CAN NOR WILL ASSURE THAT ANY IP DISCLOSED IN PARTICIPANT’S APPLICATION, OTHER PARTICIPANT MATERIALS OR OTHERWISE IN THE COURSE OF THE QUEST OR WORKSHOP WILL BE KEPT CONFIDENTIAL OR OTHERWISE PROTECTED BY SPONSOR, MATTER, JUDGES, OTHER PARTICIPANTS OR MEMBERS OF THE PUBLIC THAT MAY HAVE ACCESS TO THE IP (INCLUDING WITHOUT LIMITATION ANYONE WHO PARTICIPATES IN THE WORKSHOP AND PRESENTATION BY LIVESTREAM OR OTHERWISE, TO THE EXTENT APPLICABLE).
PARTICIPANT MUST NOT DISCLOSE ANY IP THAT PARTICIPANT’S COUNSEL HAS NOT ASSURED IS PROTECTED. Before submitting any Participation Materials, you should seek and be guided by your own counsel as to the desirability of seeking IP protection of any Participant Materials.
Participant represents and warrants that submitting the Application and sharing the Application and other Participant Materials with Sponsor, MATTER, the Judges and anyone else does not breach any contract or obligation between Participant and a third party and that the possession or use of the Application or any other Participant Materials (including without limitation the AI Solution and any idea, invention, information or materials comprised in the Application or other Participant Materials) by MATTER or Sponsor will not misappropriate or infringe any intellectual property rights of others.
As a condition of participating in the Quest and/or Workshop, Participant accepts and agrees that nothing in these Terms, nor in Participant’s participation in the Quest or Workshop, nor in the Participant Materials, nor in the communication between Sponsor and/or MATTER and Participant related to the Quest and/or Workshop preclude Sponsor from using the ideas, concepts and know-how which are developed or learned in the course of Participant’s participation in the Quest and/or Workshop at any time nor deemed to limit Sponsor’s rights to provide similar technology, services, products, or any other offerings (“Sponsor Offerings”) to customers or third parties. Participant agrees that Sponsor may use any feedback provided by Participant at any time related to Sponsor and/or any Sponsor Offerings for any Sponsor business purpose, without requiring consent, including without limitation reproduction and preparation of derivative works based upon such feedback, as well as distribution of such derivative works. Participant understands and agrees that Sponsor may use any of the ideas, concepts, know-how, or techniques submitted as part of or in connection with Participant’s Application and other Participant Materials.
8. DISCLOSURES
You further agree, by submitting information for consideration in the Quest, that any and all such information may be disclosed to the MATTER and Sponsor. Parties as defined herein, and may be publicly disclosed, and that any Presentation and the Workshop may be open to any interested parties, including the general public, as Sponsor determines in its sole discretion.
In particular and without limitation, except where prohibited by law, you authorize MATTER and Sponsor to use your name, names and likenesses of your principals, addresses, quotes, voices, and any part of the contents of your Application for educational, editorial, public relations, trade, promotional, and advertising purposes, in all media now known or later discovered, worldwide, in perpetuity, without compensation or other consideration, notice, review or approval.
9. COMPLIANCE
Participant agrees to comply with all laws, rules and regulations applicable to Participant’s participation in the Quest and participation in the Workshop (to the extent applicable), including without limitation the sharing of any and all Participant Materials.
Participant acknowledges that the Application, the other Participant Materials and Participant’s participation in the Workshop may be subject to United States export laws, regardless of location or nationality. Participant agrees to comply with all applicable export controls, including, but not limited to, the United States Department of Commerce’s Export Administration Regulations, sanctions programs administered by the United States Treasury Department’s Office of Foreign Assets Control, and any export laws applicable in Participant’s country of residence. Participant further warrants that Participant’s Application and other Participant Materials (including any Presentation materials, to the extent applicable) are authorized for export from the United States under these laws, if applicable.
10. DISCLAIMER AND WAIVER
SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN CONNECTION WITH (I) THE QUEST AND ANY ELEMENT THEREOF, (II) THE WORKSHOP IN WHOLE OR IN PART, (III) SPONSOR’S ABILITY TO IN ANY WAY ENABLE, DEVELOP, MARKET, OR PROMOTE PARTICIPANT, THE APPLICATION, THE PRESENTATION, THE PARTICIPANT MATERIALS, OR THE WORKSHOP, IN WHOLE OR IN PART AND (IV) SPONSOR’S ABILITY TO IN ANY WAY ENABLE, IMPROVE, DEVELOP, MARKET, OR PROMOTE PARTICIPANT, THE APPLICATION, THE PRESENTATION, THE PARTICIPANT MATERIALS, OR THE WORKSHOP, IN WHOLE OR IN PART.
11. INDEMNITY
To the maximum extent permitted by applicable law, Participant agrees to release, indemnify, defend and hold harmless (“release”) Sponsor, MATTER and Sponsor and MATTER’s and each of their affiliates’ officers, employees, trustees, directors, members, subsidiaries and agents (collectively, the “Released Parties”) from and against any and all threatened or actual actions, liabilities, claims, demands, losses, settlements, fines, damages, costs and expenses (including attorneys’ fees) whether or not litigation is commenced (collectively, the foregoing, “disputes”) arising from or in connection with: (i) Participant’s Application and participation in the Quest (including without limitation, to the extent applicable, Participant presenting at the Workshop or otherwise participating in the Workshop); (ii) the Application and all other Participant Materials (including without limitation the AI Solution); (iv) Participant’s breach of any of these Terms or any breach or default of the Releases or any other agreements between Participant and any of the Released Parties; (v) Participant’s acts, errors or omissions; (vi) any personal injuries, death, damage to, loss or destruction of property, rights of intellectual property, publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory; (vii) any alleged or actual infringement on or misappropriation or violation of, in whole or in part, any patent, copyright, trademark, trade secret or intellectual property or other proprietary right or interest of any other person or entity related to the Application or other Participant Materials (including without limitation the AI Solution); or (viii) any act, default, omission, non-compliance, and/or a violation or breach of any laws or rules.
To the maximum extent permitted by law Participant covenants not to sue or disparage any Released Party or cause them to be sued regarding any matter released above; and further covenants not to disaffirm, limit, or rescind the releases in these Terms to the fullest extent permitted by law.
12. PRIVACY
Participant agrees that personal data share in connection with Participant’s Application (including the submittal of the Application and using this website) may be processed, stored, and otherwise used for the purposes and within the context of the Quest and Workshop and as permitted by and in accordance with Sponsor’s Privacy Policy found at https://www.luc.edu/its/aboutus/itspoliciesguidelines/privacypolicy/ and MATTER’s privacy policy at https://matter.health/privacy/. This data will be collected and maintained within the United States. By submitting the Application, Participant expressly agrees to the transmission, processing, and storage of this personal data in/into the United States. By accepting an invitation to the Workshop, Participant agrees and consent to: Sponsor’s and MATTER’s (and all of their respective authorized representatives’) use of Participant’s names, business names, images, photos, videos and/or likenesses, hometowns/countries, biographical information (“personal attributes”), in any and all media now known or hereinafter developed (including but not limited to the world wide web, wireless and digital platforms, and the Internet) for promotional, marketing, and advertising purposes without additional approval or compensation, unless prohibited by applicable law; use of this data by Sponsor or MATTER to verify Participant’s identity and eligibility; and to further participate in population/public health, health care delivery, and health equity-related outreach to the public, press, and broader community including, but not limited to, interviews, quotes, video capture, demos or proofs of concepts of the Application idea, case studies, and the use of their personal attributes. Participant has the right to access, review, rectify, or cancel any personal data held by Sponsor and/or MATTER in connection with the Quest and the Workshop, subject to each party’s privacy policy, by writing to the applicable party at the address listed herein.
13. DISQUALIFICATION
MATTER and Sponsor each reserves the right, in its sole discretion, to reject, disqualify, modify, edit, and revise any Application, to verify any element of any Application or related materials, and to disqualify any Participant whose participation may subject the Quest, Sponsor, Judges or any of their respective advertisers, clients, employees, trustees, students, advisors, or customers to controversy, negative publicity, scorn, and/or ridicule. Neither Sponsor nor MATTER assumes any responsibility for lost, misdirected, damaged, incomplete, incorrect, altered, or illegible Applications.
Without limiting any other right or term herein, Participant may be disqualified from the Quest immediately if, in a Sponsor’s (or its authorized representative’s) absolute discretion. Without limiting the foregoing, if at any time Participant is found to have breached, violated, or failed to comply with these Terms or the Releases (or any subsequent agreement), in whole or in part, or is or found at any time to be ineligible, they will be immediately disqualified. Further without limiting the foregoing, if at any time Sponsor reasonably believes that Participant has, is suspected of, appears to, or has attempted to undermine or circumvent the legitimate operation of these Terms, the Quest, or the Workshop or any portion of any of the foregoing, or if Participant is suspected at any time of engaging in artifice, cheating, deception, fraud, multiple or false identities, illegal, harmful, dangerous, unsportsmanlike activities or obnoxious behavior, or other unfair or subversive acts or practices, or has or attempts to annoy, abuse, threaten, harass, intimidate, or cause harm to any other participant, any of the employees, trustees, directors or advisors of Sponsor or MATTER or any other person or cause damage, destruction or loss of property.
14. WEBSITE AND CANCELLATION
Neither Sponsor nor MATTER are not responsible for: typographical error; technical, network, website, computer, digital, platform, telephone, cable, electronic, or hardware or software malfunctions, failures, connections, problems; incompatibility; unavailable, garbled, corrupt, or jumbled transmissions; service provider, Internet, website, blog site, user net accessibility, availability or congestion; unauthorized human intervention, security breach or unauthorized access; failure to collect an Application and Participant Materials in whole or in part, the incorrect or inaccurate capture, storing, or processing of entries or applications or other information, nor for the failure to process, collect or communicate any such information; electronic errors, omissions, interruptions, deletions, defects, and/or delays; and/or loss, theft, corruption, alteration, or destruction of any Application or Participant Materials, or any other Quest related materials or information (including without limitation Application, Workshop and Presentation remated materials), in whole or in part. If for any reason the Quest or any part thereof (including without limitation the Workshop or any part thereof), is not capable of running as planned, including infection by computer virus, bugs, suspected tampering, unauthorized intervention, fraud, cheating, technical failures, a force majeure event (including riots, insurrection, war, natural disasters, epidemic, pandemic, global or national health emergency, industry-wide strike or lockout, restrictive government or judicial orders), artifice, or any other causes similar or dissimilar which in the discretion of Sponsor and MATTER may subvert, corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Quest or any element thereof (including without limitation the Workshop or any part thereof), Sponsor and MATTER reserve the right in their absolute discretion to cancel, terminate, modify, or suspend the Quest or any part thereof (including without limitation the Workshop and any part thereof). Sponsor and MATTER reserve the right to select only potential presenters at and participants in the Workshop from eligible, non-suspect applications received (prior to the intervening event or otherwise), but only if doing so is deemed feasible and equitable in Sponsor’s absolute and final determination under the circumstances. Any attempt by Participant to deliberately damage any website or undermine the legitimate operation of the Quest (including without limitation the Workshop) is a violation of applicable U.S. criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to disqualify Participant and seek damages from Participant to the fullest extent of the law.
15. DISPUTES
These Terms shall be governed by, subject to, and construed in accordance with the laws of the State of Illinois, United States of America, without regard to conflict of law rules. As a condition of participating in this Quest (and the Workshop, to the extent applicable), Participant hereby irrevocably waives Participant’s right to claim any form of class action in any action or proceeding concerning the construction, validity, interpretation, and/or enforceability of these Terms, Participant’s rights and obligations, or the rights and obligations of Sponsor in connection with the Quest and Workshop, and any other disputes that cannot be informally resolved between the parties arising out of or connected with this Quest and the Workshop or any element thereof.
16. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SPONSOR OR MATTER BE RESPONSIBLE OR LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES – UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY (INCLUDING NEGLIGENCE), AND WHETHER OR NOT SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ARISING OUT OF THIS QUEST OR THE WORKSHOP, PARTICIPATION IN THE QUEST OR THE WORKSHOP OR ELEMENTS THEREOF, INCLUDING BUT NOT LIMITED TO THE SUBMISSION OF AN APPLICATION, PARTICIPANT’S ACCESS TO AND USE OF THE PROMOTIONAL WEBSITE OR THE UPLOADING OF MATERIALS TO THE WEBSITE, ATTENDATE OF OR PARTICIPATION IN THE QUEST OR THE WORKSHOP OR ANY RELATED ACTIVITIES, OR FAILURE OF THE QUEST OR WORKSHOP OR ANYTHING RELATED THEIRTO ARISING AT ANY TIME. THESE LIMITATIONS WILL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BY PARTICIPATING IN THE QUEST AND/OR THE WORKSHOP YOU EXPRESSLY AGREE TO THE ALLOCATION OF RISK SET FORTH HEREIN; IF YOU DO NOT AGREE TO THIS ALLOCATION OF RISK, YOU MUST NOT PARTICPATE IN THE QUEST OR SUBMIT AN APPLICATION.
17. PHOTO RELEASE
I authorize the Release Parties to record my participation and/or appearance in the Workshop (“Appearance”) on video tape, audio tape, film, photograph or any other medium and to use such recordings and my name and voice in all mediums and all means of communication now and in the future. I further grant the Release Parties the right and permission to duplicate, distribute, use, reuse, broadcast, publish, republish, and market, in whole or in part, the Workshop and my Appearance (including without limitation in publicity releases, on Release Parties’ websites and on Release Parties’ social media accounts). I waive any right to inspect or approve any use of the Workshop and my Appearance. I grant to Release Parties’ a non-exclusive license and the right and permission to copyright, in the name of Release Parties’, the Workshop and my Appearance. I waive and release Releasees from any claim, action, suit or damage by reason of anything contained in the recording or arising out of the use, reuse, duplication, distribution, broadcast, publication and marketing of the recording.
